Please read these Terms and Conditions (“Terms”) carefully before using the Rearrange Products for WooCommerce plugin (“the Plugin”) provided by us (“we,” “us,” or “our”).

By downloading, installing, or using the Plugin, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Plugin.

1. Definitions

“Free Version” refers to the free version of the Plugin available on WordPress.org.

“Pro Version” refers to the premium version of the Plugin with advanced features.

“Service” refers to both the Free and Pro versions of the Plugin and any related support services.

“User” or “You” refers to the individual or entity using the Plugin.

“Site” or “Store” refers to your WordPress/WooCommerce installation where the Plugin is activated.

2. License Grant

2.1 Free Version

The Free Version is licensed under the GNU General Public License v2.0 or later. You are free to use, modify, and distribute the Free Version in accordance with the GPL license terms.

2.2 Pro Version

Upon purchase of the Pro Version, we grant you a non-exclusive, non-transferable, revocable license to:

  • Install and use the Pro Version on one (1) production website
  • Install the Pro Version on unlimited development/staging sites for testing purposes
  • Receive updates and support as outlined in Section 7

The Pro license is for a single site only. Each additional site requires a separate license.

2.3 License Restrictions

You may not:

  • Redistribute, resell, or sublicense the Pro Version
  • Remove or alter any proprietary notices or labels
  • Use the Plugin for illegal purposes or to violate any laws
  • Reverse engineer, decompile, or disassemble the Pro Version (except where permitted by law)

3. Pricing and Payment

3.1 Free Version

The Free Version is provided at no cost and can be downloaded from WordPress.org.

3.2 Pro Version Pricing

  • Monthly Subscription: $3.90 per month, billed monthly
  • Annual Subscription: $39.99 per year ($3.33/month), billed annually
  • Annual subscriptions save 15% compared to monthly billing

3.3 Payment Terms

  • All prices are in US Dollars (USD)
  • Payment is processed securely through our payment providers
  • Subscriptions automatically renew unless cancelled
  • You are responsible for all applicable taxes

3.4 Free Trial

  • Pro Version includes a 3-day free trial
  • No payment is required during the trial period
  • You can cancel before the trial ends without being charged
  • After the trial, your chosen subscription plan begins

3.5 Refund Policy

We offer a 7-day money-back guarantee for Pro Version purchases:

  • Request a refund within 7 days of your initial purchase
  • Contact us via support email with your license key
  • Refunds are processed within 5-7 business days
  • This guarantee applies only to first-time purchases
  • Renewals and subsequent purchases are non-refundable

4. Subscription and Renewal

4.1 Automatic Renewal

  • Pro subscriptions automatically renew at the end of each billing period
  • You will be charged the then-current subscription rate
  • We will notify you before renewal if pricing changes significantly

4.2 Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to Pro features until the end of the paid period
  • No partial refunds are provided for cancelled subscriptions
  • To cancel, manage your subscription through your account dashboard or contact support

4.3 Downgrades

  • You can downgrade from Pro to Free at any time
  • Downgrade takes effect at the end of your billing period
  • Pro-only features will be disabled upon downgrade
  • Your product arrangements will be preserved but Pro-specific presets and settings may be inaccessible

5. Features and Functionality

5.1 Free Version Includes

  • Drag-and-drop product reordering on main shop page
  • Custom product order for selected categories
  • Visual product arrangement interface
  • Community support via WordPress.org

5.2 Pro Version Includes

All Free features, plus:

  • Smart Sort: Automatic sorting by Best Selling, Rating, Alphabetical, Stock Status, Price, Date, or Random
  • Sort Presets: Save, load, duplicate, and manage multiple product arrangements with shortcode support
  • Import/Export: Backup and transfer sort orders via JSON with smart SKU matching
  • Priority Email Support: Direct support with faster response times

5.3 Feature Changes

We reserve the right to:

  • Add, modify, or remove features with reasonable notice
  • Improve or update the Plugin’s functionality
  • Discontinue features that are no longer viable
  • Changes to Pro features will be communicated via email to active subscribers

6. Account and Security

6.1 License Key

  • You will receive a license key upon purchasing the Pro Version
  • Keep your license key secure and confidential
  • Do not share your license key with others
  • We are not responsible for unauthorized use of your license key

6.2 Account Responsibility

You are responsible for:

  • Maintaining the security of your WordPress installation
  • Keeping your WordPress and WooCommerce versions up to date
  • Regular backups of your site and data
  • Any activity that occurs under your license

7. Updates and Support

7.1 Updates

  • Free Version: Updates are provided through WordPress.org
  • Pro Version: Automatic updates are provided for active subscribers
  • Updates may include bug fixes, security patches, new features, and compatibility improvements
  • You must maintain an active subscription to receive Pro updates

7.2 Support

  • Free Version: Community support via WordPress.org forums on a best-effort basis
  • Pro Version: Priority email support with responses typically within 24-48 hours (business days)
  • Support covers installation, configuration, and troubleshooting
  • Support does not include custom development or modifications

7.3 Compatibility

We strive to maintain compatibility with:

  • The latest two major WordPress versions
  • The latest two major WooCommerce versions
  • PHP 7.4 and above

8. Data and Privacy

8.1 Data Collection

The Plugin may collect:

  • License key and activation data (Pro Version)
  • WordPress and WooCommerce version information
  • Plugin usage statistics (anonymized)
  • Site URL for license validation

8.2 Data Usage

We use collected data to:

  • Validate licenses and prevent unauthorized use
  • Improve the Plugin and user experience
  • Provide support and troubleshooting
  • Send important updates and notifications

9. Disclaimer of Warranties

THE PLUGIN IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Plugin will be error-free or uninterrupted
  • Warranties regarding the accuracy or reliability of results

We do not guarantee that:

  • The Plugin will meet all your requirements
  • The Plugin will be compatible with all themes, plugins, or hosting environments
  • All bugs or issues will be resolved
  • The Plugin will work without conflicts

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability for any claims arising from the Plugin shall not exceed the amount you paid for the Pro Version in the 12 months preceding the claim
  • We are not liable for any indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of profits, revenue, data, or business opportunities
  • We are not liable for damages caused by third-party themes, plugins, or services

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use or misuse of the Plugin
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any unauthorized use of your license key

12. Intellectual Property

12.1 Ownership

We retain all rights, title, and interest in:

  • The Plugin’s source code (Pro Version proprietary code)
  • Trademarks, logos, and branding
  • Documentation and marketing materials
  • Proprietary algorithms and features

12.2 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

13. Termination

13.1 Termination by You

You may terminate your use of the Plugin at any time by:

  • Deactivating and deleting the Plugin
  • Cancelling your Pro subscription

13.2 Termination by Us

We may terminate your license and access if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your payment method fails and is not updated
  • You use the Plugin in a way that harms our services or reputation

13.3 Effects of Termination

Upon termination:

  • Your license is revoked immediately
  • You must stop using the Plugin
  • Pro features will be disabled
  • You will not receive a refund for unused subscription time (except as outlined in Section 3.5)

14. Third-Party Services

The Plugin integrates with:

  • WordPress.org
  • WooCommerce
  • Your WordPress hosting environment

We are not responsible for:

  • Downtime or issues caused by these services
  • Changes to third-party APIs or functionality
  • Compatibility issues arising from third-party updates

15. Export Compliance

You agree to comply with all applicable export laws and regulations. You may not use or export the Plugin in violation of any laws.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective:

  • Immediately upon posting for minor clarifications
  • 30 days after notification for material changes

Continued use of the Plugin after changes constitutes acceptance of the modified Terms. We will notify active Pro subscribers of material changes via email.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of United States.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Plugin.
